This Independent Contractor Agreement ("Agreement") is entered into as of the date of electronic signature below between Concierge Inc, a company organized under the laws of the State of Georgia ("Company"), and the applying driver identified in the signature block below ("Contractor").
Contractor is an independent contractor and not an employee, agent, partner, or joint venturer of the Company. Contractor is solely responsible for all taxes, insurance, licensing, and other obligations arising from Contractor's activities. Nothing in this Agreement creates an employment relationship.
Contractor may perform the following services through the Company platform: food and retail delivery, medical delivery, rideshare, and package/courier services. Contractor retains full discretion over when, where, and which job opportunities to accept. Company does not guarantee any minimum number of service opportunities.
Contractor may select one of the following compensation structures:
Company reserves the right to modify pricing structures upon reasonable notice to Contractor.
Payments are processed through integrated payment systems within the platform. Contractor is responsible for any applicable payment processing fees. Subscription fees are collected on a weekly basis in advance of the applicable service period.
Contractor is responsible for providing and maintaining all equipment and resources necessary to perform the services, including a registered and insured vehicle, smartphone with data service, and all fuel, maintenance, and repair costs. Company does not reimburse Contractor for any expenses.
Contractor must at all times maintain a valid driver's license, active vehicle insurance meeting minimum legal requirements, successful background check clearance, and compliance with all applicable federal, state, and local laws governing transportation and delivery services.
This Agreement is non-exclusive. Contractor is free to perform services for other platforms and businesses, including but not limited to Uber, DoorDash, Lyft, Instacart, and similar services, provided such activities do not create a conflict of interest with active service commitments on the Company platform.
Contractor agrees to deliver professional and safe services, maintain customer satisfaction standards, and refrain from fraud, theft, or abusive behavior toward customers, merchants, or Company personnel. Company may suspend or terminate Contractor's platform access for violations of this Section.
Contractor assumes all risk associated with providing services, including vehicle accidents, personal injuries, property damage, and lost or damaged items. Company shall not be liable for any such events. Contractor agrees to indemnify, defend, and hold harmless Concierge Inc., its officers, employees, and agents from and against any claims, liabilities, damages, or costs arising from Contractor's performance of services.
Company will issue a Form 1099-NEC to Contractor if annual earnings meet or exceed the applicable IRS reporting threshold. Contractor is solely responsible for all federal, state, and local tax obligations, including self-employment taxes, arising from compensation received under this Agreement.
Either party may terminate this Agreement at any time with or without cause. Termination is effective immediately upon notice. In the event of misconduct or fraud, Company may terminate Contractor's platform access immediately without prior notice. Upon termination, Contractor loses all access to the platform.
Contractor agrees not to disclose or use for any purpose other than performing services under this Agreement any confidential information, including customer data, merchant data, platform operations, pricing structures, or proprietary business information.
This Agreement is governed by the laws of the State of Georgia, without regard to conflict-of-law principles. Any disputes not subject to arbitration under Section 16 shall be resolved exclusively in courts of competent jurisdiction located in Georgia.
This Agreement, together with any platform policies incorporated herein by reference, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements, understandings, and representations.

Contractor: By typing your full legal name in the signature field below and checking the agreement box, you acknowledge that your electronic signature is legally binding and equivalent to a handwritten signature.
Any dispute, claim, or controversy arising out of or relating to this Agreement, your use of the platform, or the services you provide shall be resolved exclusively through final and binding arbitration, and NOT in a court of law. Arbitration shall be administered by the American Arbitration Association (AAA) under its applicable rules.
Both parties expressly waive the right to a trial by jury.
All disputes must be brought in the parties' individual capacity, and not as a plaintiff or class member in any purported class or representative action. No arbitrator may consolidate claims or preside over any class, collective, or representative proceeding.
You may opt out of this arbitration provision by submitting written notice to Company support within 30 days of the date you accept this Agreement. The opt-out option is provided below.
Company provides clear and accessible earnings information including: base pay per order or service, 100% of customer tips passed through to Contractor, applicable platform fees and deductions, and any bonuses, incentives, or surge pricing. Contractor acknowledges that earnings may vary by demand, distance, and service type, and that Company may adjust pricing algorithms at its discretion. All earnings data is accessible in the Contractor dashboard.
A. Grounds: Contractor's platform access may be deactivated for fraud, safety violations, repeated customer complaints, or failure to maintain required licenses and insurance.
B. Notice: Where reasonably possible, Company will provide written notice of deactivation with the stated reason.
C. Appeals: Contractor may appeal a deactivation decision within 7 days of notice by contacting Company support. Company will review the appeal and may reinstate, uphold the deactivation, or request additional information.
D. Final Determination: All decisions following appeal review are final and binding.
As an independent contractor, you may receive a Form 1099-NEC if your annual earnings exceed the IRS reporting threshold. Federal law requires us to collect your taxpayer information. Your SSN or EIN is encrypted at rest and only used for tax reporting purposes.
